  • Respect intellectual property rights and not use our work without proper authorization
  • Not engage in any activity that may harm our services or reputation

4. Project Terms and Agreements

Each project will be governed by a separate project agreement or contract that specifies:

  • Timeline and milestones
  • Pricing and payment terms

  • Support and maintenance terms

4.2 Changes to Project Scope

5. Payment Terms

5.2 Payment Schedule

Payment terms will be specified in the project agreement. Typically, payments are structured as:

  • Initial deposit upon project commencement
  • Milestone payments based on project progress
  • Final payment upon project completion and delivery

5.3 Late Payments

Late payments may result in:

  • Suspension of work until payment is received
  • Late fees as specified in the project agreement
  • Termination of services if payment is significantly overdue

5.4 Refunds

Refund policies will be specified in individual project agreements. Generally, refunds are not provided for completed work, but may be considered on a case-by-case basis for projects terminated early.

6. Intellectual Property Rights

6.1 Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing such content, you grant us a license to use it solely for the purpose of completing your project.

6.2 Our Work Product

Upon full payment, ownership of the final deliverables will transfer to you as specified in the project agreement. However, we retain the right to:

  • Use the work in our portfolio and marketing materials
  • Use any pre-existing code, templates, or frameworks we own
  • Continue using any general knowledge or skills gained during the project

6.3 Third-Party Materials

If your project includes third-party materials (fonts, images, libraries, etc.), you are responsible for obtaining appropriate licenses. We will use only licensed or open-source materials.

7. Warranties and Disclaimers

7.1 Service Warranties

We warrant that our services will be performed in a professional and workmanlike manner. We will correct any defects in our work that are reported within the warranty period specified in your project agreement.

7.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not guarantee that:

  • Our services will meet all of your specific requirements
  • Our services will be uninterrupted, timely, secure, or error-free
  • Results obtained from our services will be accurate or reliable

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONEJI INFOTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9. Confidentiality

We understand the importance of confidentiality and will:

  • Keep all client information and project details confidential
  • Not disclose confidential information to third parties without your consent
  • Use confidential information solely for the purpose of providing our services

This obligation does not apply to information that is:

  • Publicly available
  • Independently developed by us
  • Required to be disclosed by law

10. Termination

10.1 Termination by Client

You may terminate a project at any time by providing written notice. Upon termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work product
  • Any prepaid amounts for incomplete work may be refunded as specified in the project agreement

10.2 Termination by Us

We may terminate services if:

  • You breach these Terms of Service or the project agreement
  • Payment is significantly overdue
  • You engage in illegal or unethical activities
  • We are unable to continue providing services for reasons beyond our control

11. Support and Maintenance

Support and maintenance services, if included in your project, will be provided according to the terms specified in your project agreement. Support typically includes:

  • Bug fixes and error corrections
  • Security updates
  • Technical support during the support period

Additional features, major updates, or extended support may require separate agreements and additional fees.

12. Prohibited Uses

You agree not to use our services:

  • For any illegal purpose or in violation of any laws
  • To transmit harmful code, viruses, or malware
  • To infringe upon intellectual property rights
  • To harass, abuse, or harm others
  • To collect or store personal data without proper authorization
  • In any way that could damage our reputation or services

13. Third-Party Services

Our services may integrate with or use third-party services, platforms, or APIs. We are not responsible for:

  • The availability or functionality of third-party services
